1. Acceptance of Terms

Welcome to Latigo. These Terms of Service ("Terms") constitute a legally binding agreement between you and Latigo Health, Inc. ("Latigo," "we," "us," or "our") governing your access to and use of the Latigo platform, including our website, applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Note: These terms are provided for informational purposes. We recommend consulting with a legal professional to ensure compliance with all applicable laws in your jurisdiction.

2. Description of Service

Latigo is an animal management platform designed to help individuals and organizations manage animal care, including but not limited to:

• Animal record keeping and health tracking
• Facility and enclosure management
• Booking and reservation systems
• Team collaboration and task management
• Billing and payment processing
• AI-powered insights and recommendations
• Client portal for pet owners

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age.

4. Subscription and Billing

4.1 Subscription Plans

Latigo offers various subscription tiers (Free, Starter, Business, Facility) with different features and limits. Current pricing and plan details are available at latigohealth.com/pricing.

4.2 Payment Terms

• Paid subscriptions are billed in advance on a monthly or annual basis
• All payments are processed securely through Stripe
• Prices are in USD unless otherwise specified
• You are responsible for all applicable taxes

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings.

4.4 Refunds

We offer a 14-day money-back guarantee for new paid subscriptions. After this period, refunds are generally not provided, except as required by law. For annual subscriptions, refunds are prorated based on remaining time.

4.5 Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at your next billing cycle after the notice period.

5. User Content

5.1 Ownership

You retain ownership of all content you upload, submit, or create through the Service ("User Content"), including animal records, photos, documents, and notes.

5.2 License Grant

By uploading User Content, you grant Latigo a non-exclusive, worldwide, royalty-free license to use, store, display, and process your content solely for the purpose of providing and improving the Service.

5.3 Your Responsibilities

You are solely responsible for your User Content and represent that:

• You have the right to share the content
• The content does not violate any laws or third-party rights
• The content is accurate to the best of your knowledge

5.4 Data Export

You may export your data at any time through the Service. Upon account termination, you will have 30 days to export your data before it is deleted.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Harass, abuse, or harm other users
• Create false or misleading animal listings
• Use the Service for animal abuse, neglect, or illegal trading
• Circumvent usage limits or subscription restrictions
• Resell or redistribute the Service without authorization

We reserve the right to investigate and take appropriate action against anyone who violates these guidelines, including removing content and terminating accounts.

7. AI Features and Disclaimers

Latigo offers AI-powered features including health insights, welfare recommendations, and smart scheduling. These features are provided for informational purposes only and should not be considered as professional veterinary, medical, or legal advice.

• Not Veterinary Advice: AI recommendations do not replace professional veterinary care. Always consult a licensed veterinarian for health concerns.
• Accuracy: While we strive for accuracy, AI-generated content may contain errors or inaccuracies. Verify important information independently.
• No Liability: We are not liable for any decisions made based on AI-generated recommendations.

8. Third-Party Services

The Service integrates with third-party services including Google Firebase, Stripe, OpenWeather, and Anthropic. Your use of these services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services. Any issues with third-party services should be directed to those providers.

9. Intellectual Property

9.1 Our Rights

The Service, including its design, features, code, and content (excluding User Content), is owned by Latigo and protected by copyright, trademark, and other intellectual property laws. The Latigo name, logo, and all related marks are our trademarks.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes, subject to these Terms.

9.3 Feedback

If you provide feedback or suggestions about the Service, we may use them without any obligation to compensate you.

10. Termination

10.1 By You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, you will lose access to your account and data after the 30-day export period.

10.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay applicable fees
• Create risk or legal exposure for Latigo

10.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination will continue to apply.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. Your use of the Service is at your sole risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATIGO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless Latigo and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal legal claim, you agree to contact us at legal@latigohealth.com to attempt to resolve the dispute informally. We will try to resolve the dispute within 60 days.

15.2 Arbitration

If informal resolution fails, any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

You agree that any dispute resolution will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

15.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Latigo.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
